DUTIES: Work closely with Management to evaluate potential transactions. Utilize discounted cash flow and other valuation techniques to assess economic value of potential transactions. Monitor and perform financial analysis and modeling. Build and develop detailed valuation models with dynamic financial statements. Perform discounted cash flow modelling, free cash flow analysis, integrated merger modelling, accretion and dilution analysis, and comparable public and precedent transaction analysis. Create detailed financial models with dynamic financial statements to assess financial impacts to AT&T. Provide and support the negotiations of principal terms and conditions for transactions issues of diverse scope. Perform due diligence investigation and analysis of acquisitions and joint ventures. Incorporate assessment of market conditions, regulatory environment, competitive conditions, strategic and business plans, and existing business and technical operations into financial models. Collaborate and support legal, accounting and business inspection of acquisition or joint venture. Create financial models to assess the economic value of potential transaction. Utilize demand forecasts and develop key operating projections for the valuation of target transactions. Work on issues of diverse scope where analysis of market trends and financial situation or data requires evaluation of a variety of factors, including an understanding of current business trends. Facilitate the due diligence process, including coordinating and supporting virtual data rooms and manage work streams with internal and external constituents. Support the structuring and negotiation of term sheets and definitive agreements. Provide support for the analysis and negotiation of transactions for acquisition teams in potential and executed transactions. Orchestrate acquisition support functions for national and international transactions. Create presentation materials for internal approval of transactions by AT&T Officers and the AT&T Board of Directors.REQUIREMENTS: Requires a Master’s or foreign equivalent degree in Business Administration and three (3) years of experience in the job offered or three (3) years of experience monitoring and performing financial analysis and modeling; building and developing detailed valuation models with dynamic financial statements; and performing discounted cash flow modelling, free cash flow analysis, integrated merger modelling, accretion and dilution analysis, and comparable public and precedent transaction analysis.
